The Malta FA recently held an information session for clubs to outline the process of transitioning into commercial entities through the newly established Sports Private Limited Liability Company (SPLLC) framework.
The session which was held on Wednesday at Centenary Hall, follows the publication of Legal Notice 91 of 2026, through which sports clubs in Malta may now operate as sports companies through a dedicated commercial vehicle. This development is expected to provide clubs with greater financial flexibility and long-term stability, while enabling them to operate on a more competitive footing with their foreign counterparts. This came after a concerted effort by several stakeholders, both internal and external.
A Sports Private Limited Liability Company (SPLLC) is a company incorporated under the Companies Act through which a club may operate as a commercial entity, assuming full responsibility for its management, operations and administration.
Malta FA Senior Vice President Dr Matthew Paris addressed attendees, outlining the legislative developments relating to SPLLCs, the required amendments to association licensing regulations, and the consequential changes necessary for any club wishing to undertake such a conversion.
He remarked that this forms part of the Malta FA’s continued efforts to further professionalise football in Malta, and that the Association is supporting clubs so that they can make full use of this legislation.
“At present, all football clubs are structured as voluntary organisations, with limited or no capacity to engage in commercial activities. The new structures enable clubs to transition into commercial entities, thereby allowing for the generation of revenue to be reinvested directly into the sporting organisation,” he added.
The information session was attended by representatives from clubs, Malta FA groupings and standing committees, as well as other Malta FA organisations. External stakeholders were also present due to the broader relevance of this legislation.
During the session, attendees were briefed on the legislation, allowing them to better understand the regulations that must be followed for an SPLLC to be created. Furthermore, they were also provided with the obligations and the recurring requirements that need to be satisfied in order to be converted into an SPLLC. Particular emphasis was placed on the financial requirements for conversion, including the settlement of club debts (excluding non-overdue payables), as well as approval of a financial plan by the General Assembly. A practical roadmap for conversion into an SPLLC was also presented to clubs.
The Malta FA will continue supporting clubs throughout the transition process as part of its wider commitment to strengthening the professional framework of football in Malta.
